MarocAtlas Gibraltar 4x4 Club Constitution.
1) NAME
The name of the club shall be"MarocAtlas Gibraltar 4x4 Club"
2) COLOURS
The colours of the Club are Black, Red, White & Green on our official logo and Yellow for our website url visor sticker.
3) HEADQUARTERS
The headquarters of the Club is at, Unit G.15 Retrenchment Block Lathbury Barracks, 05 Lathbury Barracks Rd, Gibraltar.
4) LOGO
Only members of the Club may use the logo. Any changes to the logo must be approved by the entire committee.
5) OBJECTIVES;
6) CLASS MEMBERSHIPS
There will be two classes of membership namely:
Honorary Member
Full Member
A"member" for the purpose of article six of this constitution shall be defined as an owner, or part
owner and/or driver of any 4x4 make of vehicle. If the member sells his vehicle he/she may remain a member.
7) HONORARY MEMBER
The committee may confer honorary membership on any person upon such terms; conditions, rights and privileges shall not exceed those extended to other members.
8) FULL MEMBER;
All applications for membership must be made in writing to the committee on the prescribed form. Such application must be proposed and seconded by any two members. The committee, without assigning any person there for, may accept or reject the application.
9) FINANCIAL YEAR
The financial year of the Club will end on the last day of September each year.
10) SUBSCRIPTION
Annual subscriptions and/or entrance fees of members shall be determined by the committee subject situation.
Full affiliation subscription must be paid to the Club throughout the year when new members join the Club.
11) NON - PAYMENT OF SUBSCRIPTIONS
The committee shall have the power to suspend or expel any member whose subscription is not paid by the end of October.
12) CASTING VOTE
In the event of an equal number of votes being cast for or against a motion, the Chairman presiding at any meeting shall have the casting vote over and above his/her deliberate vote.
13) VOTING RIGHTS
Only a member whose subscription is fully paid up for the year preceding an annual general meeting shall be eligible to cast any votes at such meetings or hold any office, on the assumption that the member continues membership.
14) ANNUAL GENERAL MEETING
The AGM shall be held not later than the last Thursday of October each year, notice of which must be sent to each member at least seven days prior to the meeting. Notice of any business or any amendment to such business and nominations for all committee members must be made in writing to the secretary and shall be in the secretary's hands at least 48 hours prior to the meeting. Should there not be a quorum of at least 40% of the total amount of paid members, the AGM will be postponed by one month.
15) MANAGEMENT
The management and controls of the Club shall be vested in a committee, which shall be elected at the annual general meeting at which the following must be appointed:
Two additional members will also be needed to be voted into the committee as "committee members".
15.1. Members standing for office must have expertise to that portfolio for which they wish to stand for.
16) ELIGIBILITY FOR NOMINATION TO COMMITTEE
A member shall only be eligible for selection to the committee if he/she has been a member of the Club for a period of not less than three months immediately preceding election. Any vacancy occurring on the committee during the year may be fulfilled by the committee who may co-opt members to hold office until the next AGM. The committtee shall be re-elected annually at each AGM at the Club.
17) COMMITTEE MEETINGS
The committee shall meet a minimum of once a month and as often as deemed necessary and four members shall form a quorum. Any member of the Club may attend committee meetings and, upon invitation from the chairman, take part in discussions, but may not vote on any matter.
18) COMMITTEE MEMBER'S ABSENCE
Any committee member, who is absent from three consecutive committee meetings, or six times in all during the one year without leave, shall be deemed to have vacated his/her seat.
19) RETIREMENT OF CHAIRMAN OR VICE CHAIRMAN
The Chairman shall hold office for a year, but shall be eligible for re-election at the expiry of the period. The Chairman and Vice Chairman shall hold office until the conclusion of the AGM at which new Chairman & Vice Chairman are appointed.
20) SPECIAL GENERAL MEETING
The secretary, upon receiving a written requisition signed by at least five members, shall convene special general meeting, not more than fourteen nor less than seven days after receipt of the signed requisition. Only such business as is specified upon the requisition shall be dealt with at the meeting so convened.
20.1 These ruled shall not be amended, rescinded or altered except at an AGM or special general meeting called for the purpose. Notice of such proposed alteration shall be given to all members at least seven days prior to the meeting. The vote at such meetings of two thirds of the meeting present are entitled to vote and shall be necessary to amend, alter or rescind the rules.
21) RESIGNATIONS
All resignations must be made in writing to the committee, who need not to accept unless and until all monies due by the resigning member are fully paid.
22) MISCONDUCT
The committee upon receiving notice that a member of the Club has infringed the rules, or has committed an act detrimental to the interests of the Club, shall call upon such member to appear at the next meeting and give an explanation of his/her action. Upon hearing the member's explanation, the committee may exonerate, expel or suspend the member after furnishing reasons for it's decision. Should the member fail to appear as requested, the committee shall have the right to expel or suspend the member at the meeting. An expelled member, however, shall not be relieved of any debt by him/her to the Club.
23) COMPLAINTS
All complaints must be made in writing and must be in the hands of the Club secretary at least three days prior to a committee meeting, failing which, the committee may hold the complaint over until the following meeting.
24) BY-LAWS ETC
The committee may draw upon by-laws, competition rules and/or regulations as it finds necessary, provided however, that such by-laws, competitions rules and regulations are not in conflict with the rules and regulations of the Club. Such rules and regulations shall be in compliance with the rules, regulations and by-laws of the NRTA (National Road Traffic Act)
25) RULES BINDING ON MEMBERS
All members shall be bound by these rules and regulations, and the committee's decision in the case of dispute, or interpretation of the rules and regulations shall be final and binding on all members.
26) CLUB ASSETS
For all intents and purposes the chairman, secretary and treasurer for the time being shall be deemed to be the legal owners of all trophies, monies and other properties in the distribution of the Club's assets, excepting as follows:
26.1. Should the Club decide to wind up, the assets remaining after all liabilities have been settled, shall be converted into cash by selling or auctioning off, and this cash donated to a registered fund raising body. Any assets that cannot be converted to cash thereafter shall also be donated to a similar body.
26.2. Should a member incur expenses with the committee's approval in performing some duty on behalf of the Club, such expenses may be reimbursed to the member at the discretion of the committee.
26.3. Trophies, no matter how many times won by an individual member remains the property of the Club.
27) BANK ACCOUNT
All monies of the Club shall be deposited in a savings, special or current account of a registered building society or bank decided upon by the committee. All cheques must be signed by two of the following committee members: Chairman, Secretary or Treasurer.
28) INCOME TAX EXEMPTION
It is understood by consultation with professional auditors that the Club will not be a profit making organisation, and that no member may profit financially from fund raising or any other form of income and that all proceeds shall go to worthy, registered fund raising bodies or back into improving the Clubs facilities.
